      "body": "Here’s my prediction. Sometime in the indeterminately distant future, someone will publish a book. The work, a thick and weighty volume, will be titled: “A History of Capitalism”. It will chart the evolution of global debt and equity markets: its humble origins in the first offering of shares to the public, when the Dutch East India Company effectively conducted the first IPO in 1602, to the tulip bulb craze that resulted in the first market crash. It will cover Adam Smith, the founding father of free trade who laid the intellectual framework that explained free markets and coined the phrase “the invisible hand” which explains how self-interest is the guiding force of an economy.\n\nIt will journey through the Industrial Revolution, the Roaring Twenties, the Great Depression, the forming of monopolies, oligarchs and government intervention. It will regretfully recall when Nixon decided the U.S. Dollar should drop the gold standard, and certainly lament when the hundred-year-old modern banking system plagued by fractional reserve lending failed the world in 2008, as property prices plunged shortly after the leading financial institutions reaped enormous profits by betting against their underlying debt.\nThough all the ups and downs of this obviously flawed system may become an exhausting read, it will depict the light at the end of the tunnel when a digital virus begins to spread. The virus would eventually lead to economic equality and heightened living standards for millions who previously faced slim chances in the pursuit of these basic liberties.\n\nOf course, I am referring to decentralized, cryptographically trustless systems like Bitcoin and other open-source blockchains that changed the lives of those who saw, not just a revolutionary breakthrough in cryptography and computer science, but a paradigm shift in the use case for the internet. Until then, the internet was a highly efficient place to share information, whereas Bitcoin proved it can also be an efficient means to transfer value in the form of scarce digital assets.\n\nThe rest of the book is yet to be written but the early indicators are beginning to show. Individuals are now taking money from their local productivity and spreading it around the globe effortlessly to invest in the networks they speculate will have more value in the future. Some are predicting a world where money is circumscribed not by borders, but by industry. It has become clear that as Hal Finney phrased it, “Blockchain is not a bubble; Blockchain is the pin”.\n\nIn the last couple years, a new trend has formed in the emergence of easily tradable, scarce digital assets that contain equity of a business, asset or venture. A share in the project, with voting rights, dividend payouts and 24/7 liquidity for its holders. Some of the companies leading the way are:\n\n\nBnkToTheFuture\n\ntZero\n\nSwarm Fund\n\nSecuritize\n\nOpen Finance Network \n\nPolymath\n\nCrowdFundx\n\nCoinbase\n\nOnce these platforms launch in their entirety in the coming months, we will have reached a turning point in the history of global commerce. Once every company can securitize their equity with a liquid token, several paradigm shifting advantages become apparent:\n\n1. Company employees, now paid with cash and liquid shares, are incentivized to perform at their optimum knowing their efforts will have a direct effect on their own wealth, not just that of the company’s partners. This wealth appreciation can be realized immediately due to the liquid nature of 24/7 markets (tZero Platform plans to operate around the clock with zero settlement time)\n2. Eventually a set of universally accepted laws cuts red tape and speeds the process of growth and realization of self determination for those looking to raise capital and invest in a broad array of ventures, regardless of size or geographic location\n3. Monopolies erode as the barrier to entry of business is lowered\n\nAnd here’s the kicker. While the network effect of cryptocurrencies is viewed as exclusive to utility tokens, the truth is that it extends to securities, arguably becoming one of their most valuable features. Currently, public companies hold annual shareholder meetings where investors are invited to hear out the executive team and pose hard-hitting questions to management. Whether it’s a founder in an emerging economy with an entrepreneurial spirit, or an investor looking to start his own venture capital firm, these goals are getting closer by the week, painting the picture of a serene future where ideas and their actualization are plenty and those who believed in them from the very beginning are exposed to as much upside as Peter Thiel when he invested $500,000 in Facebook, almost a decade before their IPO.",

President and Chief Operating Officer Asiff Hirji commented that \"Coinbase will soon be capable of offering blockchain-based securities, under the oversight of the U.S. Securities and Exchange Commission (SEC) and the Financial Industry Regulatory Authority (FINRA).\"\n\nWhile the cryptocurrency market delivers countless new headlines daily, this particular announcement is likely to be one of the most significant stories of the year. Historically, Coinbase has traded just four coins: Bitcoin, Bitcoin Cash, Ether, and Litecoin. Now, they are positioned to add blockchain-based securities--otherwise known as security tokens--once granted regulatory approval, which they anticipate in the next few months.\n\nThe implication for entrepreneurs?\n\nSecurity tokens, like equity in a business, can be sold to U.S. and international investors, opening up an entirely new avenue to capital raising.  \n\nWhen Coinbase makes moves, the ground shakes. With more than twenty million customers and $150 billion in assets traded, the San Francisco-based company has raised $225 million to date, and recently valued itself at $8 billion when it acquired Earn.com. \n\nBut wait: what are security tokens?\n\nSecurity tokens are digital, regulated securities on the blockchain. Think of them as a form of programmable ownership. Imagine being able to program your capitalization table, dividend payments, voting rights, or liquidation preferences directly into your tokens. Now imagine that the technology to do this exists today--because it does.\n\nMultiple issuance platforms, such as Polymath, Securitize, and Harbor, allow issuers to program these rights and more into security tokens using smart contracts. And the benefits to tokenizing assets are substantial.     \n\nOne of the biggest draws is liquidity: the ability to trade tokens on soon-to-be regulated, secondary exchanges such as Coinbase. Whereas as many investors have historically invested in startups with a five to ten year horizon for an exit (if any), security tokens promise near-term liquidity on exchanges that will trade tokens 24/7, and attract a global pool of investors. \n\nSecurity Token Offerings (STOs) \nA new breed of innovative startups and established businesses alike are beginning to consider security token offerings, or STOs, as a strategy to raise capital. STO issuers have a variety of securities exemptions at their disposal, including Regulation D 506(c), Regulation A+, Regulation Crowdfunding, and Regulation S, to run compliant offerings. \n\nWhile U.S. securities laws are imperfect--and openly frowned upon or despised by some in cryptocurrency--the current framework provides guided pathways to capital raising for STO issuers.\n\nAaron Wolko, Founder of Green Diamond Ventures, is bullish on STOs. \"This is a huge breakthrough for both startups and investors,\" he said. \"Companies looking to raise capital benefit because they can now easily seek funds from investors who are located outside of their own legal jurisdiction, and it protects investors because their equity is now guaranteed by a smart contract.\"\n\nBy tokenizing equity (or debt), entrepreneurs can now sell their tokens to investors around the world, widening both their reach and target audience. And investors benefit, too: they get access to an exciting new asset class--STOs--that will give them near-term liquidity and economic rights to the underlying assets of the business. \n\nNavigating New Waters\nCurrently, the most common approach to an STO is Regulation D 506(c), which allows you  to raise an unlimited amount of capital, generally solicit or market you deal, but restricts you to accepting only verified accredited investors. Regulation S, which allows you to accept international investors, is often used in parallel with Regulation D. \n\nAs always, you should retain an experienced securities attorney to help you evaluate whether an STO is right for your business. At a minimum, you will need to devise a strategy for primary issuance (tokenization), legal, and liquidity. And while Coinbase is not the only digital currency exchange with plans to trade security tokens, they are an industry bellweather. \n\nAnthony \"Pomp\" Pompliano, Founder and Partner at Morgan Creek Digital Assets, is an outspoken advocate for security tokens, who can often (multiple times daily) be found on Twitter claiming that \"the virus is spreading,\" to the tune of dozens of retweets. Pompliano says the acquisition of Keystone Capital is \"another step in the process for Coinbase to be able to support tokenized securities trading. It's coming. No one can stop it.\" \n\nEstablished companies are already beginning to tokenize equity in their business, and startups now have a new vehicle that may provide faster and easier access to capital.\n\nBy the end of the year, Coinbase may be more profitable than Intercontinental Exchange, the parent company to the New York Stock Exchange.
