([hmplaw.tech](https://hmplaw.tech/2018/03/02/%EC%8A%A4%EC%9C%84%EC%8A%A4-finma%EC%9D%98-ico-%EA%B0%80%EC%9D%B4%EB%93%9C%EB%9D%BC%EC%9D%B8-%EC%99%84%EB%B2%BD-%EB%B6%84%EC%84%9D/)) \n\n\n\n<br>\n\n스위스의 금융시장 감독 당국 FINM는 오늘 발간된 지침서를 통해 ICO 를 추진하는 조직들에 대해 어떻게 (스위스의) 금융 시장 관련 법규를 적용할 것인지를 설명하고자 합니다.\n\n<br>\n\n또한 FINMA 가 ICO에 대해 조사할 때 (ICO 주최측에) 요구하게 될 정보들과 그에 대한 답변의 원칙에 대해 정확히 정의를 함으로써, ICO 시장의 참여자들에게 명확성을 제공하게 될 것입니다.\n\n<br>\n\n최근 스위스 내에서의 ICO에 대한 계획과 실행이 급증했고, 이로 인해 FINMA 측으로의 관련 규정에 대한 문의도 함께 증가하고 있습니다.  \n\n<br>\n\nICO는 기업 활동을 목적으로 하는 디지털 블록체인 기반의 공개 자금 모금 활동을 뜻합니다.\n\n<br>\n\n지난 2017년 4월에 발표된 가이드라인의 일부 지침이 부분적으로 법적, 규제적 프레임워크에 있어 명확하지 않은 점을 감안하여, 오늘 이전 버전을 보완하는 새로운 지침을 발표합니다.\n\n<br>\n\n역동적이고 높은 수준의 요청에 응할 수 있도록 이 시점에서 보다 투명한 방침을 제공하는 것이 중요한 시점이 되었다고 판단되었기 때문입니다.\n\n<br> (ICO들에 대한 법 적용은) 일괄적으로 적용할 수는 없고 (조사 이후) 모든 건에 대해 개별 적으로 적용 사항이 결정되어야 합니다.\n\n<br>\n\n금융시장법과 규제들이 모든 ICO 들에 적용될 수 있는 사안이 아니기 때문입니다.\n\n<br>\n\nICO를 추진한다고 해서 무조건 규제 요구에 적용이 되어야 하는 것이 아니라 ICO 가 설계된 방향에 따라서는 적용에서 예외가 될 수도 있습니다. 그러므로 상황은 그렇게 각 건 별로 검토되어야 할 것입니다.\n\n<br>\n\n2017년 4월에 이미 발표된 가이드라인에서 언급한 바와 같이 몇 몇 영역의 ICO들은 금융시장의 규제에 적용될 가능성이 있습니다.\n\n**(역자 주: 일본은 자금결제법에 준하여 ICO의 규제를 시작하기는 하였지만, 최근 개정된 자금결제법 에서도 ICO에 대한 구체적인 규제 방안은 포함시키지 않은 반면, 스위스 FINMA의 가이드라인에서는 금융시장법이라는 기존의 법률을 경우에 따라 ICO에 적용할 수 있다고 선언한 세계 최초의 ICO 관련 공식 법적 규제 방안이라는데 큰 의미가 있습니다. **\n\n**그동안 스위스 주크를 통해 엄청나게 많은 ICO 가 추진되면서 FINMA는 전 세계 어느 규제 기관들보다 많은 관련 경험과 데이터를 축적하였을 것이기 때문에, 가장 먼저 이런 선례적인 법적 규제안을 내어 놓을 수 있었고, 아마도 그 때문에 전 세계의 ICO 규제 대책은 스위스의 가이드라인을 비중있게 검토하여 유사한 정책으로 나아가게 될 가능성이 크다는 점에서도 본 가이드라인이 매우 중요하다는 것을 알 수가 있겠습니다. )**\n\n<br>\n\n현재로서는 ICO만을 위한 특별한 규제나 적절한 판례도 없고, 일관된 법적 원칙도 정해진 것이 없습니다.  (역자 주: 금융시장법에 해당하는 경우에 대해서만 기존의 법을 이용하여 적절히 건 별로 대응해 가겠다라는 결론입니다.)\n\n<br>\n\n(ICO 조사와 법률 적용에 대한) FINMA의  원칙은 (ICO 주최측이 발행하는) 토큰(암호화폐)의 **기능**과 **양도 가능성** 에 초점을 맞추고 있습니다. \n\n<br>\n\nFINMA는 (토큰의) 경제적인 기능과 블록체인 기반의 최소 단위인 토큰의 (실제적인) 발행 목적이 무엇인가에 초점을 둔다는 뜻입니다.\n\n<br>\n\n(FINMA가 검토하는) 가장 중요한 핵심 요소는 **(밖으로 드러내는 목적만이 아니라 수면 밑에 깔려있는)  근본적인 토큰의 목적**이며, 또 그것이 **거래가 가능**하고 **송금이 가능**한지의 여부입니다.\n\n\n\n**(역자 주 : 스위스는 매우 합리적이고 영리한 정책을 표방하고 있습니다.       "body": "부모님께서 공부를 더 하라고 조언을 하신다니 환경은 좋으신데 글 쓰신 것을 보니 본인의 정신적 능력에 비해 자신감이 부족하신 것이 아닌가 합니다.\n\n글 쓰신 흐름이 상당한 지적 능력을 보여 주고 있습니다.\n\n아마도 능력있으신 부모님 밑에서 자라며 안정적으로 살아는 왔지만 스스로 무얼 이루어 본 경험이 부족해서 아닐까 싶습니다. 그런데 마음 속에는 열정이 가득하신 것 같고요...\n\n제 생각이 모두 틀렸을 수도 있겠지만... 지금 님의 문제는 경제적 활동을 하느냐, 공부를 더 하느냐가 아닙니다.\n\n인생은 길고, 그 과정에는 결정할 것도 많고 이겨낼 것도 많고, 도전할 것도 참아낼 것도 즐겨야 할 것들도 많습니다.\n\n그것들을 모두 주도적으로 (남의 밑에서 일을 하든, 내 사업을 하든) 하지 못하면 내 주변 환경이 아무리 좋아도 답답함과 불만을 엎앨 수 없고 항상 방황하며 열정과 현실의 안착함 사이에 끼어 질질 끌려다니며 살게 됩니다.\n\n솔직히 공부를 더 하더라도 성인이 되었다면 라면을 먹고 노동을 하더라도 집을 나오는 게 멀리보면 더 옳습니다.\n\n그렇게 구지 하지 않아도 평생 부모님이 도와주시는 그늘 아래서 조금 더 편안하게 살 수는 있습니다.\n\n그러나 님처럼 가슴 속에 열정과 자존심이 살아 꿈틀거리는 분들은 그런 속에서 행복할 수 없습니다.\n\n세상에는 모든 일에 정답이 없습니다.\n\n사람과 상황과 환경에 따라 다를 뿐입니다.\n\n그저 짧은 글이지만 님께서 쓰신 글을 읽고 인생을 아마도 님의 두 배쯤 살아본 듯한 경험 상 느껴진 바를 말씀 드린 것이오니 혹 제 말이 틀렸고 무례한 조언일 뿐이었다면 양해를 바랍니다.\n\n님의 인생에 감동과 활력이 넘치시길 빕니다.\n\n화이팅!",
